These Terms of Use govern your access to and use of Verdct.org, the Verdct mobile application and related services. By creating an account or otherwise using the Services, you agree to these Terms.

IMPORTANT: Verdct provides investment-information and educational technology. Verdct does not provide financial, investment, legal, accounting or tax advice and is not a broker, dealer, custodian, portfolio manager or fiduciary. Nothing in the Services is a recommendation to buy, sell or hold any security.

1. Acceptance of These Terms

These Terms of Use ("Terms") form a binding agreement between you and Verdct ("Verdct," "we," "us" or "our"), an Alberta-incorporated company that provides Verdct.org, the Verdct mobile application and related services (collectively, the "Services"). By creating an account, downloading the app, or otherwise accessing or using the Services, you agree to these Terms.

These Terms should be read together with Verdct's Privacy Policy, Financial and Investment Disclaimer, AI Disclosure and any notice presented for a specific feature. If you do not agree to these Terms, do not access or use the Services.

2. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction if higher, and capable of forming a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that your use complies with all laws applicable to you.

3. Description of the Services

Verdct helps users organize and understand investment information through portfolio tools, a Daily Score, AI Analyst Reports, plain-language explanations of financial terms, personalized news and a Week in Review summary, among other features. Features may change, be added or be removed at any time, and not every feature is available in every region.

4. No Financial, Investment or Legal Advice

Verdct is an information and education tool. Verdct is not a broker, dealer, investment adviser, portfolio manager, custodian or fiduciary, and nothing in the Services constitutes financial, investment, legal, accounting or tax advice or a recommendation to buy, sell or hold any security.

Scores, summaries, alerts and other outputs are generated from available data and may be incomplete, delayed, outdated or wrong. You are solely responsible for your investment decisions, and you should verify important information using primary sources and consult a licensed professional before acting on anything in the Services.

5. AI-Assisted Features

Verdct uses artificial intelligence and automated systems to summarize market news, explain portfolio changes, classify information, identify patterns and generate plain-language observations. Depending on the feature, inputs may include portfolio information, your preferences, prompts and relevant market information.

AI-generated outputs are provided for informational and educational purposes only, are not personalized advice, and are never the sole basis for a financial decision. Human review is not guaranteed for every output. Verdct does not use AI outputs to execute trades, transfer money or change investments.

6. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, keep it up to date, and notify us promptly at support@verdct.org of any unauthorized access or suspected security incident.

We may suspend or terminate an account we reasonably believe has been compromised, used fraudulently, or used in violation of these Terms.

7. Subscriptions, Trials and Payment

Certain features are available only through a paid subscription. Subscriptions are billed, processed and managed through the Apple App Store or another authorized payment provider, and are subject to that provider's terms, including its billing, refund, renewal and cancellation policies.

Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled through the applicable app store account settings. Verdct does not process payment-card details directly and receives only subscription status, entitlement and transaction-identifier information from the payment provider.

8. Portfolio Information and Third-Party Connections

You may enter holdings manually or, where offered, connect a third-party financial-data provider. Verdct does not place trades, route orders, hold or custody assets, withdraw money, transfer funds or change your investments, unless a separately disclosed regulated transaction feature is expressly introduced.

A third-party connection is also governed by that provider's own terms. You may revoke a connection at any time through account settings or through the relevant provider, though revocation does not automatically delete information already received and lawfully retained by Verdct.

9. Acceptable Use

You agree not to: use the Services for an unlawful purpose; interfere with or disrupt the integrity or performance of the Services; attempt to gain unauthorized access to any account, system or data; scrape, reverse-engineer or copy the Services except as permitted by law; misrepresent your identity; or use the Services to transmit harmful code or unsolicited communications.

10. Intellectual Property

Verdct and its licensors own all right, title and interest in the Services, including all software, text, design, trademarks and logos. Subject to your compliance with these Terms, Verdct grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. No other rights are granted.

11. Third-Party Content and Links

The Services may display or link to news, market data, app stores, authentication services and other third-party content. Verdct does not control and is not responsible for third-party content or practices, and inclusion of a link does not imply endorsement.

12. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Verdct does not warrant that the Services will be uninterrupted, secure, error-free, or that any output will be accurate, complete or current.

Market data and calculations depend on third-party sources and the information you provide, and may be delayed, incomplete or inaccurate. You use the Services, and rely on any output, at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, Verdct and its officers, directors, employees and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, data or investment value, arising out of or relating to your use of the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Verdct's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of one hundred Canadian dollars (CAD $100) or the amount you paid Verdct in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold Verdct harmless from any claim, loss, liability or expense, including reasonable legal fees, arising from your use of the Services, your violation of these Terms, or your violation of any right of a third party.

15. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, including for a suspected violation of these Terms, a legal or security concern, or discontinuation of the Services. You may stop using the Services and request account deletion at any time through the app's account or privacy settings.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. Subject to any right you may have under applicable consumer-protection law, you and Verdct agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the courts located in Alberta, Canada.

17. Changes to These Terms

We may update these Terms when our Services, practices or legal obligations change. We will post the updated Terms on Verdct.org with a revised effective date and, for material changes, provide additional notice or seek consent where required by law. Continued use of the Services after an update constitutes acceptance of the revised Terms.

18. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; Verdct may assign these Terms in connection with a merger, acquisition or sale of assets. These Terms, together with the documents referenced in Section 1, are the entire agreement between you and Verdct regarding the Services.
